Schoenherr advises shareholders of Comel on sale of 60 % stake to SGB-SMIT

MVP Schoenherr advised the shareholders of Comel d.o.o. Beograd ("Comel") in connection with the signing of an agreement for the sale of a 60 % stake in Comel to SGB-SMIT Group ("SGB-SMIT"). The acquisition will give SGB-SMIT a majority interest in Comel's power transformer business.

The transaction, which is expected to close in the second half of 2026, represents an important strategic milestone for Comel and is set to support the next phase of its development, broaden its international reach and further strengthen its position in the power transformer market.

Comel has longstanding expertise in the manufacture of power transformers, supported by a highly skilled team and an established market presence in Serbia and neighbouring countries.

SGB-SMIT is an international transformer group with engineering and manufacturing operations, an international sales network and dedicated R&D resources.

Schoenherr's team was led by Luka Lopičić (Partner) and Pavle Erić (Attorney at Law) and included Isidora Grujičić (Associate). Zoran Šoljaga (Partner) advised on merger control matters.

Gleiss Lutz, with a team led by Vanessa Rendtorff (Partner), advised the shareholders on German law matters in connection with the transaction.
